Terms of Service

Important: These terms are intended to reduce risk and clarify use of Ryearc's service, but they have not yet been reviewed by counsel. If you use Ryearc, you agree to these terms.

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you and Ryearc LLC ("Ryearc," "we," "us"), a Wyoming LLC. By accessing our website or purchasing a subscription, you agree to these Terms. If you do not agree, do not use our service.

2. Service Description

Ryearc provides automated competitive intelligence briefings, reports, dashboards, emails, alerts, and related materials (collectively, "Reports") generated from publicly available information about competitors or markets you specify. Reports may include summaries, signal scoring, pattern detection, commentary, recommendations, and suggested implications. Reports are decision-support materials only. They are not a substitute for your own review, judgment, professional advice, or independent verification.

3. Subscriptions and Billing

Subscriptions are billed monthly on a recurring basis. Prices are: • Essentials: $399/month • Professional: $599/month • Founding Pilot: $299/month (available to first 10 customers for 3 months) Your subscription renews automatically each month until cancelled. You authorize us to charge your payment method on file each billing cycle. Prices may change with 30 days' notice to active subscribers.

4. Cancellation and Refunds

You may cancel your subscription at any time by emailing hello@ryearc.com. Cancellation takes effect at the end of your current billing period — you will continue to receive Reports until that date. We do not issue prorated refunds for partial months. Founding Pilot customers: After your 3-month pilot period, your subscription will automatically renew at the then-current Essentials rate ($399/month) unless you cancel or change plans before the end of month 3. We will email you a reminder 7 days before this transition.

5. Acceptable Use and Competitive Restrictions

You may use Reports for your internal business purposes only. You may share Reports with employees and contractors within your organization who need access for internal business use, provided they are bound by confidentiality obligations at least as protective as these Terms. You may not, without Ryearc's prior written permission: • Resell, sublicense, publish, syndicate, distribute, or otherwise make Reports available to third parties • Use Reports, report structure, signal taxonomy, scoring, prompts, workflows, source selection, or methodology to build, train, benchmark, or improve a competing product or service • Scrape, crawl, copy at scale, reverse engineer, decompile, or attempt to reconstruct Ryearc's systems, prompts, processes, source lists, or methods • Remove attribution, copyright notices, source links, disclaimers, watermarks, or proprietary legends • Represent Report content as independently verified fact without performing your own verification • Use the service in any way that violates applicable law or third-party rights Any unauthorized competitive use, redistribution, model training, or reverse engineering is a material breach of these Terms and may cause irreparable harm for which monetary damages may be inadequate. Ryearc may seek injunctive or equitable relief in addition to other remedies available by law.

6. AI-Generated Content and Accuracy

Our Reports are generated entirely by artificial intelligence systems that monitor publicly available information, synthesize patterns, and produce written analysis. No human reviews individual Reports before delivery unless otherwise stated. IMPORTANT LIMITATIONS YOU SHOULD UNDERSTAND: • Reports may contain factual errors, outdated information, or misattributed data despite automated source verification and citation linking. AI systems can produce content that appears authoritative but is incorrect. • Financial figures, hiring data, product launch timing, and other specific claims in Reports are derived from public sources of varying reliability. We employ automated verification systems, but these systems are not infallible. • Reports reflect a snapshot based on publicly available information at the time of generation. They do not capture private, confidential, or non-public competitive activity. • Competitor analysis, scoring, and pattern detection are algorithmic outputs, not expert opinions. They should be treated as one input among many in your decision-making process. Reports are provided for informational purposes only and do not constitute professional advice of any kind, including but not limited to legal, financial, investment, tax, accounting, employment, compliance, operational, product, marketing, strategic, or business advice. Any recommendations, implications, scores, forecasts, or prioritization suggestions in Reports are automated analytical outputs, not instructions or directives. You are solely responsible for independently verifying any claims, data, or analysis before relying on them for business decisions. Ryearc expressly disclaims any liability for actions taken or not taken based on Report content. We strongly recommend that you: (a) independently verify material claims before acting on them, (b) consult qualified professionals for decisions with significant business impact, and (c) treat Report content as supplementary intelligence, not as a sole basis for strategic decisions.

7. Data Collection Scope

Our monitoring systems collect only publicly available information. We do not access password-protected systems, private APIs, authenticated user sessions, or any data that is not freely accessible to the general public. We aim to comply with the robots.txt directives of monitored websites and the terms of service of platforms we access.

8. Customer Data

We do not use your company information, competitor lists, or Report content to train AI models. Your configuration data (company name, competitors, delivery preferences) is used solely to generate your Reports and is not shared with other customers or third parties except as necessary to deliver the service (e.g., email delivery via Resend, payment processing via Stripe). Your Reports are generated independently. We do not use insights from one customer's Reports to inform another customer's analysis, even if they track overlapping competitors.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RYEARC LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICE. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM: (A) INACCURATE, INCOMPLETE, OR FABRICATED INFORMATION IN REPORTS; (B) BUSINESS DECISIONS MADE IN RELIANCE ON REPORT CONTENT; (C) DELAYS OR FAILURES IN REPORT DELIVERY; OR (D) ERRORS IN AI-GENERATED ANALYSIS, SCORING, OR RECOMMENDATIONS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO RYEARC IN THE THREE MONTHS PRECEDING THE CLAIM. YOU ACKNOWLEDGE THAT THE SERVICE USES ARTIFICIAL INTELLIGENCE SYSTEMS THAT MAY PRODUCE ERRORS, AND THAT YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF AND RELIANCE ON REPORT CONTENT.

10. Indemnification

You agree to defend, indemnify, and hold harmless Ryearc LLC and its members, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the service, your violation of these Terms, or your violation of any third party's rights.

11. Intellectual Property and Ownership

Reports delivered to you are licensed, not sold. Subject to your payment of all applicable fees and compliance with these Terms, Ryearc grants you a limited, revocable, non-exclusive, non-transferable license to use Reports for your internal business purposes. Ryearc retains all rights, title, and interest in and to the service, website, software, report formats, templates, layouts, prompts, workflows, signal taxonomies, scoring systems, source selection methods, data models, research processes, analysis methods, and other methodology used to generate Reports. You retain ownership of information you provide to us, such as company name, competitor names, and delivery preferences. No rights are granted by implication. You may not use Ryearc's name, logo, report design, output structure, or proprietary methodology except as expressly permitted by these Terms.

12. Confidentiality

Reports and non-public service materials are confidential to the customer receiving them and to Ryearc. You agree to protect Reports using reasonable care and not disclose them outside your organization except to advisors or contractors who need access for your internal business purposes and are bound by confidentiality obligations. Ryearc will protect your non-public account configuration, competitor lists, and delivery preferences using reasonable administrative, technical, and organizational safeguards.

13. Feedback

If you provide feedback, suggestions, requests, or ideas about Ryearc, you grant Ryearc a perpetual, irrevocable, worldwide, royalty-free license to use that feedback to improve, develop, and commercialize our services without restriction or compensation, provided we do not disclose your confidential information in doing so.

14. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the service after the effective date constitutes acceptance of revised Terms.

15. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Sheridan County, Wyoming, or through binding arbitration as mutually agreed.
